FCA and Groupe PSA complete merger

The merger between Peugeot S.A. (“Groupe PSA”) and Fiat Chrysler Automobiles N.V., paving the way for the creation of Stellantis N.V., is now complete. Stellantis will become the fourth largest car maker in the world.

The Board of Directors of Stellantis has now been appointed, and Stellantis’s Articles of Association are now effective. The Board of Directors is made up of two executive directors, John Elkann (Chairman) and Carlos Tavares (Chief Executive Officer), and nine non-executive directors. These are Robert Peugeot (Vice Chairman); Henri de Castries (Senior Independent Director, acting as the voorzitter under Dutch law); Andrea Agnelli; Fiona Clare Cicconi; Nicolas Dufourcq; Ann Frances Godbehere; Wan Ling Martello; Jacques de Saint-Exupéry and Kevin Scott.

The Board of Directors of Stellantis has also appointed an Audit Committee, a Remuneration Committee and a Governance and Sustainability Committee.

“Stellantis is one of the world’s leading automakers and a mobility provider, guided by a clear vision: to offer freedom of movement with distinctive, affordable and reliable mobility solutions,” said the company.

Fiat Chrysler Automobiles (FCA) is a global automaker which designs, engineers, manufactures and sells vehicles in a portfolio of brands including Abarth; Alfa Romeo; Chrysler; Dodge; Fiat; Fiat Professional; Jeep®; Lancia; Ram and Maserati. It also sells parts and services under the Mopar name and operates in the components and production systems sectors under the Comau and Teksid brands. FCA employs nearly 200,000 people around the globe.

Groupe PSA has five car brands – Peugeot; Citroën; DS; Opel and Vauxhall - and provides a wide array of mobility and smart services under the Free2Move brand. Its 'Push to Pass' strategic plan represents a first step towards the achievement of the Group's vision to be ‘a global carmaker with cutting-edge efficiency and a leading mobility provider sustaining lifetime customer relationships’. An early innovator in the field of autonomous and connected cars, Groupe PSA is also involved in financing activities through Banque PSA Finance and in automotive equipment via Faurecia.
